Position Overview

We are seeking an experienced contract professional to join our dynamic AMER Commercial Legal team. As a Legal Contracts Manager, you will be responsible for drafting, negotiation, interpretation, and administration of contractual documents to support Autodesk sales in North America (NAMER). You will provide hands-on proactive and practical advice and support to business partners on multiple legal, commercial, and related matters. You may also provide contractual support for Named Accounts and Public Sector customers, or Procurement as needed.

You will report to Legal Manager, AMER Contracts, and this position is hybrid based in Denver, Boston, Atlanta, the SF Bay Area, or Montreal, Canada.

Responsibilities

  • Provides contractual support for Autodesk's business in North America, with a focus on sales transactions

  • Negotiates and ensures compliance with company policies and applicable laws or regulations

  • Works collaboratively with internal stakeholders to gain approvals on varied contractual requirements

  • Manages contract templates, contract change control process and related correspondence requiring legal input

  • Maintains an understanding of Autodesk contract templates, contracts policy, legal risk and liability, and company position on multiple matters

  • Interprets contracts and advises business colleagues on contractual responsibilities

  • Translates complex commercial/legal scenarios into simple language and action plans

  • Coordinates transaction flow and process with global sales operations, legal department specialists and other key stakeholders

  • Collaborates with and supports the wider AMER Commercial Legal team on sales and procurement transactions

Minimum Qualifications

  • 4+ years relevant experience in contract management and negotiations

  • Experience supporting direct sales and contract negotiation in software industry

  • Experience negotiating non-disclosure agreements

  • Strong analytical, drafting and negotiation skills (both verbally and written)

  • Ability to be agile and learn systems

  • Demonstrate flexibility and the ability to collaborate and influence business partners

  • Ability to manage multiple competing priorities simultaneously, work efficiently under pressure, seek appropriate supervisory input where needed, and consistently meet tight deadlines

  • Strong organizational skills and ability to be flexible and self-directed in a fast-paced environment as well as under the supervision of lawyers

  • Proactive, eager to learn, well-organized, adaptable, a team player, business-focused, and genuinely excited by the challenges and opportunities the IT/software industry presents

Preferred Qualifications

  • Bachelor's degree Business, Legal Studies, or a related field preferred

  • Basic understanding of privacy and security as it relates to the software or IT industry

  • Master's degree or certification highly preferred

Responsabilités :

  • Fournit une assistance contractuelle aux activités d'Autodesk en Amérique du Nord, en mettant l'accent sur les transactions commerciales

  • Prépare les contrats pour approbation interne, négocie et assure la conformité avec les politiques de l'entreprise et les lois ou réglementations en vigueur

  • Gère les modèles de contrat, le processus de contrôle des modifications de contrat et la correspondance associée nécessitant une intervention juridique

  • Comprend les modèles de contrat Autodesk, la politique relative aux contrats, les risques et responsabilités juridiques, ainsi que la position de l'entreprise sur plusieurs sujets

  • Interprète les contrats et conseille les collègues sur les responsabilités contractuelles

  • Traduit des scénarios commerciaux/juridiques complexes en un langage et des plans d'action simples

  • Coordonne le flux et le processus de transaction avec les opérations de ventes mondiales, les spécialistes du service juridique et d'autres parties prenantes clés

  • Collabore avec l'équipe juridique commerciale AMER et assiste à cet égard dans le cadre des transactions commerciales et d'approvisionnement

Exigences minimales :

  • Au moins 4 ans d'expérience dans la gestion et la négociation de contrats

  • Expérience de la vente directe et de la négociation de contrats dans le secteur des logiciels

  • Solides compétences en matière d'analyse, de rédaction et de négociation (tant verbales qu'écrites)

  • Démontrer la flexibilité et la capacité à collaborer et à influencer les partenaires

  • Capacité à gérer simultanément plusieurs priorités concurrentes, à travailler efficacement sous pression, à solliciter les avis des superviseurs appropriés si nécessaire et à respecter les délais serrés

  • Solides compétences organisationnelles et capacité à être flexible et autonome dans un environnement rapide ainsi que sous la supervision d'avocats

  • Démontrer des qualités de proactivité, de désir d'apprendre, de bonne organisation, d'adaptabilité, de travail d'équipe, d'orientation entreprise et de réel enthousiasme face aux défis et aux opportunités que présente le secteur informatique/logiciel

Compétences souhaitées :

  • Baccalauréat en commerce, études juridiques ou un domaine connexe préféré

Salary transparency

Salary is one part of Autodesk’s competitive compensation package. For U.S.-based roles, we expect a starting base salary between $81,300 and $140,250. Offers are based on the candidate’s experience and geographic location, and may exceed this range. In addition to base salaries, we also have a significant emphasis on annual cash bonuses, commissions for sales roles, stock grants, and a comprehensive benefits package.
